Net Price means, with respect to the purchase of any Property by Borrower or any Subsidiary, without duplication, [i] cash and Cash Equivalents paid as consideration for such purchase, plus [ii] the principal amount of any note or other deferred payment obligation delivered in connection with such purchase [except as described in clause [iv] below], plus [iii] the value of any other consideration delivered in connection with such purchase or sale [including, without limitation, shares in the REIT and operating partnership units or preferred operating partnership units in Borrower] [as reasonably determined by Agent], minus [iv] the value of any consideration deposited into escrow or subject to disbursement or claim upon the occurrence of any event, minus [v] reasonable costs of sale and taxes paid or payable in connection with such purchase.
Cash sale price means the price of a good or service a retail buyer would pay if he or she paid for the good or service in cash, and that is stated in a retail installment contract or in a sales slip or other memorandum furnished by a retail seller to a retail buyer pursuant to a retail charge agreement for that good or service. The cash sale price may include any taxes and charges for delivery, installation, servicing, repairs, alterations, or improvements.
Index Price on a given date shall mean the weighted average [weighted in accordance with the factors listed above] of the closing prices of the companies composing the Index Group.
Market Price as of any date, [i] means the average of the last reported sale prices for the shares of Common Stock on the OTCBB for the five [5] Trading Days immediately preceding such date as reported by Bloomberg, or [ii] if the OTCBB is not the principal trading market for the shares of Common Stock, the average of the last reported sale prices on the principal trading market for the Common Stock during the same period as reported by Bloomberg, or [iii] if market value cannot be calculated as of such date on any of the foregoing bases, the Market Price shall be the fair market value as reasonably determined in good faith by [a] the Board of Directors of the Company or, at the option of a majority-in-interest of the holders of the outstanding Warrants by [b] an independent investment bank of nationally recognized standing in the valuation of businesses similar to the business of the corporation. The manner of determining the Market Price of the Common Stock set forth in the foregoing definition shall apply with respect to any other security in respect of which a determination as to market value must be made hereunder.
Reference Market Price shall initially mean $13.50 [which is an amount equal to 66 2/3% of the last reported sales price for the Common Stock on Nasdaq on October 26, 1993] and, in the event of any adjustment to the Conversion Price other than as a result of a Fundamental Change, the Reference Market Price shall also be adjusted so that the ratio of the Reference Market Price to the Conversion Price after giving effect to any such adjustment shall always be the same as the ratio of $13.50 to the initial Conversion Price set forth in this Section 7.
Average Trading Price means, with respect to any period, the average of the Market Prices on the last trading day of each full or partial calendar quarter included within such period.

[formerly Pink OTC Markets Inc.]. If the Weighted Average Price cannot be calculated for a security on a particular date on any of the foregoing bases, the Weighted Average Price of such security on such date shall be the fair market value as mutually determined by the Company and the Holder. If the Company and the Holder are unable to agree upon the fair market value of such security, then such dispute shall be resolved pursuant to Section 11 with the term Weighted Average Price being substituted for the term Exercise Price. All such determinations shall be appropriately adjusted for any stock dividend, stock split, stock combination, reclassification or other similar transaction during the applicable calculation period.
Trading Price of the Notes on any date of determination means the average of the secondary market bid quotations obtained by the Bid Solicitation Agent for $5,000,000 principal amount of Notes at approximately 3:30 p.m., New York City time, on such determination date from three independent nationally recognized securities dealers the Company selects for this purpose; provided that if three such bids cannot reasonably be obtained by the Bid Solicitation Agent but two such bids are obtained, then the average of the two bids shall be used, and if only one such bid can reasonably be obtained by the Bid Solicitation Agent, that one bid shall be used. If the Bid Solicitation Agent cannot reasonably obtain at least one bid for $5,000,000 principal amount of Notes from a nationally recognized securities dealer on any determination date, then the Trading Price per $1,000 principal amount of Notes on such determination date shall be deemed to be less than 98% of the product of the Last Reported Sale Price of the Common Stock and the Conversion Rate.
Average VWAP means the average of the VWAPs for each Trading Day in the relevant period.
Minimum Sale Price means [i] with respect to a Receivable [x] that has become 60 to 210 days delinquent or [y] that has become greater than 210 days delinquent and with respect to which the related Financed Vehicle has been repossessed by the Servicer and has not yet been sold at auction, the greater of [A] 55% multiplied by the Principal Balance of such Receivable and [B] the product of the three month rolling average recovery rate [expressed as a percentage] for the Servicer in its liquidation of all receivables for which it acts as servicer, either pursuant to this Agreement or otherwise, multiplied by the Principal Balance of such Receivable or [ii] with respect to a Receivable [x] with respect to which the related Financed Vehicle has been repossessed by the Servicer and has been sold at auction and the Net Liquidation Proceeds for which have been deposited in the Collection Account, or [y] that has become greater than 210 days delinquent and with respect to which the related Financed Vehicle has not been repossessed by the Servicer despite the Servicers diligent efforts, consistent with its servicing obligations, to repossess the Financed Vehicle, $1.
Sale Price means the value as determined by the Administrator of the consideration payable, or otherwise to be received by stockholders, per share of Stock pursuant to a Sale Event.
Supply Price shall have the meaning set forth in Section 4.1.
Floating Price means the price or a factor of the price agreed to in the transaction as being based upon a specified index. Market Disruption Event means, with respect to an index specified for a transaction, any of the following events: [a] the failure of the index to announce or publish information necessary for determining the Floating Price; [b] the failure of trading to commence or the permanent discontinuation or material suspension of trading on the exchange or market acting as the index; [c] the temporary or permanent discontinuance or unavailability of the index; [d] the temporary or permanent closing of any exchange acting as the index; or [e] both parties agree that a material change in the formula for or the method of determining the Floating Price has occurred. For the purposes of the calculation of a replacement price for the Floating Price, all numbers shall be rounded to three decimal places. If the fourth decimal number is five or greater, then the third decimal number shall be increased by one and if the fourth decimal number is less than five, then the third decimal number shall remain unchanged.
